  1. LICENSE AGREEMENT
  2.  
  3. THIS AGREEMENT CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU, THE END USER, AND MAXUM
  4. DEVELOPMENT CORPORATION ("MAXUM").  CAREFULLY READ THE TERMS AND CONDITIONS OF
  5. THE LICENSE AGREEMENT PRIOR TO USING THIS PACKAGE.  USE OF ANY PORTION OF THIS
  6. PACKAGE INDICATES YOUR AGREEMENT TO THE FOLLOWING TERMS AND CONDITIONS.  IF YOU
  7. DO NOT AGREE WITH SUCH TERMS AND CONDITIONS, YOU SHOULD PROMPTLY RETURN THIS
  8. PACKAGE BEFORE USING IT TO YOUR PLACE OF PURCHASE FOR A REFUND.  BY BREAKING THE
  9. SEAL ON THIS ENVELOPE, YOU AGREE TO THE TERMS OF THIS LICENSE AND LIMITED
  10. WARRANTY.

  12. DEFINITIONS
  13. The following explains how certain terms are used in this license agreement
  14. •    "You and "Your" refers to persons or organizations that acquires the use of
  15.     this Product.
  16.  
  17. •    "Product" refers to the software, manual(s) and all other items accompanying
  18.     this agreement.
  19.  
  20. •    "Software" refers to the computer programs contained in the Product,
  21.     together with all the codes, techniques, software tools, formats, designs,
  22.     concepts, methods, and ideas associated with this computer program.
  23.  
  24. •    "MAXUM" refers to Maxum Development Corporation.
  25.  
  26. GRANTS
  27. MAXUM grants you a non-exclusive license to use the software in this product and
  28. any substitutions or renewals subject to the terms and conditions in this license
  29. agreement.  
  30.  
  31. You may:
  32. 1.    Install and operate the Software only on the number of servers for which
  33. you have purchased rights.  A Server Site License shall be limited to all the
  34. servers in the same organization falling within a 15 mile radius of your
  35. registered address.
  36.  
  37. 2.    Make a reasonable number of copies of the software solely for the purpose
  38. of back-up or archiving, which automatically become the property of MAXUM and are
  39. subject to this agreement.  In any such copies, you must reproduce all copyright
  40. notices and other identifying or restrictive legends that appear on the Product
  41. as received.
  42.  
  43. 3.    Transfer, after providing written notification to MAXUM, all of the
  44. Software and related manuals to another person or organization, who will in turn
  45. be subject to this agreement.
  46.  
  47. RESTRICTIONS
  48. You are restricted from:
  49. 1.    Modification of the Software.  Any modified, altered or merged portion of
  50.     the Software is subject to this license.
  51.  
  52. 2.    Making any attempt to discover the source code to the Software.
  53.  
  54. 3.    Creating or translating derivative works based on the Software or any
  55.     portion of the Product.
  56.  
  57. 4.    Attempting to remove, obscure or alter any copyright notice or other
  58.     proprietary rights related to the Software or Product, including manuals.
  59.  
  60. 5.    Sub-licensing, selling, renting, lending or leasing any portions of the
  61.     Software.
  62.  
  63. 6.    Copying any portion of the Software or any portion of the Product, except
  64.     as described above under grants.
  65.  
  66. 7.    Making any telecommunication data transmission of the Software.
  67.  
  68. 8    Transferring the Product, or any portion thereof, to any person or
  69.     organization in violation of the United States Export Administration Act.
  70.  
  71. The Software involves valuable proprietary rights of MAXUM.  MAXUM retains title
  72. to and ownership of the Software and all copyright, trade secret, trade name,
  73. trademark and other property rights related to the Software, regardless of the
  74. form that the original or other copies exist in.
  75.  
  76. You may not violate these rights, and you must take appropriate steps to protect
  77. MAXUM's rights.  MAXUM may at any time replace, modify, alter, improve, enhance,
  78. or change the Software.  Both the license and your right to use the Software
  79. terminate automatically if you violate any part of this agreement.  In the event
  80. of termination, you must immediately destroy all copies of the Software or return
  81. them to MAXUM.
